1. Agreement to Terms

By accessing or using the services provided by ISK Association ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

ISK Association provides technology consulting services including, but not limited to:

  • Application development (web and mobile)
  • Artificial intelligence and machine learning solutions
  • UX/UI design services
  • Cloud infrastructure and solutions
  • Cybersecurity consulting and implementation

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3.2 Account Responsibilities

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Prohibited Uses

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Transmit malicious code or viruses
  • Engage in fraudulent or deceptive practices
  • Harass, threaten, or harm others
  • Attempt unauthorized access to our systems or networks

4. Intellectual Property Rights

4.1 Our Property

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of ISK Association or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Property

Upon full payment for services rendered, you retain ownership of the final deliverables created specifically for you. However, we retain the right to use the work in our portfolio and marketing materials unless otherwise agreed in writing.

4.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your business purposes in accordance with these Terms.

5. Payment Terms

Payment terms will be specified in individual project agreements or statements of work. Generally:

  • Invoices are due within 30 days of the invoice date unless otherwise specified
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • All fees are non-refundable unless specified otherwise

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This obligation survives the termination of services.

7. Warranties and Disclaimers

7.1 Our Commitment

We will perform services in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISK ASSOCIATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or other harmful code transmitted through our services by third parties

Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ISK Association and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or your use of our services.

10. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice. Upon termination:

  • All licenses granted to you will immediately cease
  • You must immediately cease all use of our services
  • Payment obligations for services rendered remain in effect

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ISK Association operates, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with any written agreements for specific services, constitute the entire agreement between you and ISK Association regarding our services and supersede all prior agreements and understandings.
